Affiliate Agreement

By signing up as an Affiliate in Women’s Biz Coop Affiliate Program, you are agreeing to be bound to the following terms.

These Women’s Biz Coop Affiliate Terms (“Agreement”) constitute a legal agreement between Imagine Leadership, LLC (“Imagine Leadership”, “Imagine Leaders”, “Women’s Biz Coop”, “WBC”, “we” or “us”) and you (“Affiliate” or “you”). This agreement shall govern the relationship between Your Website, platform, and marketing activities and the Women’s Biz Coop Websites including all Imagine Leadership LLC Product and Service Websites.

Please make sure you fully understand the contents of the Agreement. If you have any doubts about any of your rights and obligations resulting from your acceptance of the Agreement, please consult us or obtain legal support.

BY SUBMITTING AN APPLICATION TO JOIN OR BY PARTICIPATING IN THE WOMEN’S BIZ COOP AFFILIATES, YOU ARE CONFIRMING THAT YOU HAVE READ THIS AGREEMENT AND THE WOMEN’S BIZ COOP TERMS AND CONDITIONS AND THAT YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS.

 IF YOU DO NOT AGREE WITH ANY PROVISION OF THIS AGREEMENT, YOU MAY NOT CONTINUE WITH THE SIGNUP PROCESS OR FURTHER PARTICIPATE IN THE WOMEN’S BIZ COOP AFFILIATES.

 

  1. Definitions

 

“Affiliate” or “you” – The business, individual, or entity applying to or participating in the Women’s Biz Coop Affiliates, or that displays Imagine Leadership’s Products and Services and/or promotions on its website(s), or other means using an affiliate tracking code and other links in exchange for receiving a commission from Imagine Leadership for sales directly resulting from such display.

 

“Women’s Biz Coop Affiliate” – The Women’s Biz Coop Affiliates is a revenue-sharing program, developed by Imagine Leadership that allows you, the Affiliate, to use marketing methods to promote our Products and Services driving traffic to our Women’s Biz Coop Websites, according to the provisions of this Agreement.

 

“Affiliate Websites” – The Affiliate’s websites which display Imagine Leadership’s Products and Services and/or promotions.

 

“Women’s Biz Coop Websites”- Women’s Biz Coop websites include all websites hosted under Imagine Leadership LLC.

 

“Women’s Biz Coop Products and Services” – WBC Membership, Assessments, Strategic Plans, Programs, Packages, and other related Products and Services that are available for purchase from Imagine Leadership.

 

“Commission” – The monetary compensation you receive, according to the Section I hereof, for participating in the Women’s Biz Coop Affiliates; the Commission consists of a percent of your total sale amount. The sale occurs when an End User or Referred Customer visits Women’s Biz Coop Websites through a Referral Link and makes a payment for Women’s Biz Coop paid Membership, Products, and/or Services otherwise as described herein and according to the terms of this Agreement.

 

“Commission Payment” – Payment systems through which you receive your Commission. You may receive your commission through direct deposit to your bank. There is no minimum threshold to receive your commission. Payments are processed every Friday of each month; provided that the End User or Referred Customer payment has been received prior to Affiliate payment.

 

“Cookie Life Period” – Cookie Life Period is unlimited from the End User or Referred Customer’s first arrival on the Women’s Biz Coop Websites through the Affiliate’s Referral Link according to this Agreement. Cookie Life Period unless otherwise stated herein, means indefinite time period unless the customer clears browser history or cache.

 

“End User” – The actual authorized digital user of Women’s Biz Coop Websites, who registers for a free/paid account, Assessments, Strategic Plans, Programs, and Packages on the Women’s Biz Coop Websites, provides valid account and billing information for all and any Imagine Leadership Products and Services.

 

“Lead” – The Potential End User or Referred Customer of Women’s Biz Coop Websites, who clicks the Referral Link and/or other links who has been approved by Imagine Leadership as an Affiliate’s lead according to the terms herein. The Lead could be approved by Imagine Leadership as its sole discretion, taking into the account the following: (i) the Lead should not be the pre-existing End User or Current Customer of Women’s Biz Coop; (ii) the Lead should use your Referral Link and other links; (iii) the Lead should not be the Potential End User or Current Customer of Women’s Biz Coop; (iv) the Lead is not involved in our active sales processes with our Women’s Biz Coop representative(s) or Women’s Biz Coop contractor(s); (v) there is an unlimited number of Leads per 1 (one) Affiliate per 1 (one) month. Affiliate can re-submit the Lead up to 2 (two) times after the initial submission, any further re-submission would be declined by Imagine Leadership at its sole discretion.

 

“Qualified Purchase” – A sale of Imagine Leadership Products and Services by Imagine Leadership to an End User or Referred Customer.

 

“Referred Customer” – Each new and unique coaching and consulting customer referred from Affiliate through Referral Link and other links, who registers for a free/paid account, Assessments, Strategic Plans, Programs, and Packages on the Women’s Biz Coop Websites that provides valid account and billing information for all and any Imagine Leadership Products and Services.

 

“Referral Link” – The link with your reference ID or any other links that lead to Women’s Biz Coop Websites. You receive your reference ID only after becoming a Women’s Biz Coop Affiliate. Additional links per campaign can be generated in our WBC Affiliate Area using your reference ID.

 

“Registration Form” – Any and all order forms or other signup or acceptance form submitted by an End User or Referred Customer to purchase Imagine Leadership’s Products and Services.

 

“Third Party” – Any individual or legal entity other than the party to this Agreement.

 

“Your Account” – Your Account on our WBC Affiliate Area, where your information is stored and where you can track your affiliate activity, including payment information.

 

“Your Websites” or “Affiliate Websites” – The website that you state during the signup to Women’s Biz Coop Affiliates, which is owned or operated by you.

 

  1. Enrollment in our Affiliates.
    1. To begin the enrollment process, you must submit a completed Affiliate Program Signup Form. The Signup Form can be found at https://womensbizcoop.com/affiliate-application/
    2. We will evaluate your application in good faith and will notify you of your acceptance or rejection in a timely manner. We may reject your application if we determine (in our sole discretion) that your website is not suitable for the Affiliate Program for any reason, including by not limited to, its inclusion of content that is, in our opinion, unlawful or otherwise violates our Acceptable Use Policy
    3. If we reject your application, for any reason, you may not re-apply to the Affiliate Program utilizing the same domain name/URL or reapply using a different domain/URL name and then add the previously rejected domain name/URL to your affiliate account. Imagine Leadership in its sole discretion, reserves the right to notify any prospective affiliate of their rejection or removal from the Affiliate Program at any time.
  2. Affiliate Rights.
    1. We grant you, subject to the limitations set forth below, a limited, non-exclusive, non-assignable, non-sublicensable, non-transferable, revocable right to: (i) demonstrate and promote Women’s Biz Coop Websites and any and all Imagine Leadership Products and Services to your Leads, prospects, and customers, and (ii) to provide End Users and Referred Customers access to use the Women’s Biz Coop Website with this Agreement and Imagine Leadership terms and conditions, specified on the Women’s Biz Coop Websites, provided that the End Users and Referral Customers agreed to Imagine Leadership terms and conditions, specified on the Women’s Biz Coop Websites.
    2. You may place banners, graphics, logos, or Referral Links within your newsletters, on your blogs, on your Websites, or within other web-related or social media content.
    3. If you qualify and agree to participate as an Affiliate, we will make a variety of graphic and textual links available to you (each referred to herein as a “Link” or collectively as the “Links”). The Links will serve to identify your website as a member of the Affiliate Program and will establish a link from Your Websites, emails, blogs, or social media to Women’s Biz Coop Websites. You agree to cooperate fully with us in order to establish and maintain such Links. You further agree that the use of the Links must be in compliance with this Agreement at all times. Women’s Biz Coop may modify the Links from time to time in its sole discretion. You will not use graphic or textual images (indicating a Link) or text messages to promote Women’s Biz Coop that are not approved in advance by Imagine Leadership. All Affiliate Sites shall display the Links prominently in relevant sections of Your Websites. Furthermore, you agree not to use cookie stuffing techniques that set the affiliates tracking cookie without the End User or Referred Customer’s knowledge (e.g. iframe). Any information with respect to Imagine Leader that is going to be displayed on the Your Websites must be pre-approved by Imagine Leadership in writing.
    4. You can reach us by sending an email to affiliates@womensbizcoop.com.
  3. Affiliate Obligations.
    1. You must provide your full legal name, a valid email address, a valid domain name of Your Websites, and all other information requested in order to complete the process on the Women’s Biz Coop Websites. All information you provide in your profile must be truthful. You are solely responsible for all of the information you provide in Your Account profile on Your Websites.
    2. As an Affiliate, you can only have 1 (one) account. You can list multiple domains in 1 (one) account, but only 1 (one) account is allowed.
    3. As a prerequisite to payment, all Affiliates must submit W-8BEN/W-8BEN-E/W9 forms, as applicable, (hereinafter “Forms”) on the Women’s Biz Coop Websites. Scanned or electronically completed and signed copies of these Forms must be uploaded to Your Account on the Women’s Biz Coop Websites. If the forms are not properly filed or submitted on time, payments will be delayed. Your full name in Your Account must match the name on the Form. The Form must be filled out on behalf of the party receiving the payment. The completed forms must be provided at least 2 (two) business days before the first payment for direct deposit payments.
    4. You are solely responsible for the development, operation, and maintenance of Your Website and for all materials that appear on Your Website. You should ensure that materials posted on Your Website do not violate or infringe the rights of any third party (including, for example, copyrights, trademarks, privacy, or other personal or proprietary rights). You will be solely responsible for the accuracy, truthfulness, and appropriateness of materials posted on Your Website. We do not endorse or accept any responsibility for any links that lead from Your Website to any other website apart from Women’s Biz Coop Websites and for any content that can be found by following these links to Third-Party Websites.
    5. Affiliate warrants and guarantees on behalf of itself and its affiliates, subsidiaries, agents and subcontractors: (i) that all personal data, contained in the Leads (if any) or any other data or materials, provides to Women’s Biz Coop according to this Agreement, were collected in accordance with all applicable laws, including but not limited to, applicable protection laws; (ii) that the Affiliate is fully allowed to transfer personal data to Women’s Biz Coop Websites and that the Affiliate received all necessary permissions so that Women’s Biz Coop could store and process such personal data, use it in marketing purposes and for offering its services.
  4. Prohibited Uses.
    1. You may not use the Women’s Biz Coop Affiliates for any illegal or unauthorized purpose. While using the Women’s Biz Coop Websites and/or participating in Women’s Biz Coop Affiliates, you must abide by any laws in your area/state/country.
    2. You cannot promote Women’s Biz Coop and/or Imagine Leadership on any gambling websites, websites with adult/hate/violent/defamatory content, or any other content that is considered offensive or inappropriate, and any websites that violate Third-Party rights and/or violate any applicable laws. Women’s Biz Coop may or may not review all content on Your Websites or used by you in promotional methods. Women’s Biz Coop may require you to provide us information regarding traffic sources, promotional channels and your promotional methods with regard to Women’s Biz Coop Products and Services would be considered as inappropriate or inconsistent with the terms of this Agreement, at Women’s Biz Coop sole discretion, your account could be suspended, your use privileges could be revoked and Commissions could be canceled.
    3. Affiliates may not share their Commission, received through Women’s Biz Coop Affiliates, with End Users or Referred Customers. Commissions cannot be split between you, your employees and other Third Party, including End Users and Referred Customers.
    4. EXCEPT AS PERMITTED HEREIN, YOU SHALL NOT AND ARE NOT AUTHORIZED TO (i) USE THE WOMEN’S BIZ COOP OR IMAGINE LEADERSHIP’S TRADEMARKS, NAMES OR ANY OF OUR INTELLECTUAL PROPERTY, INCLUDING WITHOUT LIMITATION, THE LINKS, AND THE LICENSED MATERIALS (COLLECTIVELY, THE “IMAGINE LEADERSHIP’S IP”) (OR ANY VARIATIONS OR MISSPELLINGS THEREOF OR OTHER TERM OR TERMS CONFUSINGLY SIMILAR TO ANY OF THE FOREGOING) WITHOUT IMAGINE LEADERSHIP’S EXPRESS PRIOR WRITTEN PERMISSION; (ii) USE IMAGINE LEADERSHIP’S IP IN A DOMAIN OR WEBSITE NAME, IN ANY BIDS FOR KEYWORDS OR GOOGLE ADWORDS (OR SIMILAR PROGRAMS AT OTHER SEARCH ENGINES), IN ANY SEARCH ENGINE ADVERTISING (PAID OR OTHERWISE), IN ANY METATAGS, GOOGLE ADWORDS (OR SIMILAR PROGRAMS AT OTHER SEARCH ENGINES), KEYWORDS, ADVERTISING, SEARCH TERMS, CODE, OR OTHERWISE; (iii) ACT IN ANY WAY THAT CAUSES OR CREATES OR COULD CAUSE OR CREATE ANY “INITIAL INTEREST CONFUSION” OVER THE USE OF IMAGINE LEADERSHIP’S IP ON THE INTERNET OR IN AN SEARCH ENGINE ADVERTISING. YOUR USE OF IMAGINE LEADERSHIP’S IP IN ANY MANNER, OTHER THAN EXPRESSLY PERMITTED HEREUNDER SHALL CONSTITUTE UNLAWFUL INFRINGEMENT OF IMAGINE LEADERSHIP’S INTELLECTUAL PROPERTY RIGHTS, AND MAY SUBJECT YOU TO CLAIMS FOR DAMAGES (INCLUDING POTENTIAL TREBLE DAMAGES FOR KNOWING OR WILFUL INFRINGEMENT), AND THE OBLIGATION TO PAY IMAGINE LEADERSHIP’S LEGAL FEES AND COSTS IN CONNECTION WITH ANY ACTION OR PROCEEDING IN WHICH IMAGINE LEADERSHIP SEEKS TO ENFORCE ITS RIGHTS UNDER THIS AGREEMENT OR WITH REGARD TO ANY OF IMAGINE LEADERSHIP’S INTELLECTUAL PROPERTY RIGHTS.
    5. Fraud is a serious offense and will be treated as such. Fraud is defined as any action that intentionally attempts to create sales, leads, or click-throughs using robots, frames, iframes, scripts, or manually “refreshing” of pages, for the sole purpose of creating Commissions. ANY ATTEMPTED FRAUD OR ANY HARMFUL ACTION WILL RESULT IN ACCOUNT CANCELLATION AND VOIDED COMMISSIONS. Affiliates have to provide all documents requested by us within 30 (thirty) days in case we notice any potentially fraudulent activities associated with Your Account or coming through your Referral Links. Otherwise, Your Account will be blocked and the Commissions will be canceled.
    6. You cannot SPAM. We will terminate Your Account on the first offense of spamming. Do not send emails to lists or groups that you do not have permission to send them to. We have the right to deactivate or delete Your Account on the first offense referring to this section.
    7. You will not receive Commissions for self-referrals and for Affiliates, who violate our Women’s Biz Coop Affiliates Terms. You are also not allowed to refer the company you work for and receive Commissions for that.
    8. You may not market Women’s Biz Coop special offers, discounts/coupons, reimbursements, and scholarships and may not place Women’s Biz Coop special offers, discounts/coupons, reimbursements, and scholarships in sections of Your Websites unless otherwise agreed by Imagine Leadership in writing. Affiliates may only use special offers, discounts/coupons, reimbursements, and scholarships that are provided exclusively through Women’s Biz Coop Affiliates using banners, graphics, and Links. Each Link connecting Leads, End Users, and Referral Customers of Your Websites to be the pertinent area of the Women’s Biz Coop Websites will in no way alter the look, feel, or functionality of the Women’s Biz Coop Websites. Any violations of the terms surrounding links, special offers, discounts, coupons, reimbursements, or credits shall constitute a material breach of this Agreement, and may result in your termination from the Affiliates, withholding of Commissions or Commissions canceled.
    9. You shall not during the Term compete directly or indirectly with Company in the sale of Third Party products or services without the prior written consent of the Company, provided that it shall not be a violation of this section for Affiliate to sell Affiliate-branded Products and Services previously marketed by Affiliate.
  5. FTC Endorsement Compliance
    1. It is the intent of Imagine Leadership to treat all of our customers fairly. Accordingly, we require all Women’s Biz Coop Affiliates to comply with applicable laws, regulations, and guidelines concerning advertising and marketing, including without limitations, the Federal Trade Commission (FTC) Endorsement Guides which require that material connections between advertisers and endorsers be disclosed. This means that all Affiliates Sites (e.g. directories, review/rating websites, blogs, and other websites) and any email or collateral that provide an endorsement or assessment of Women’s Biz Coop Products and Services must prominently disclose the fact that you receive compensation for End Users and Referred Customers.
    2. In the event that you do a product review of any of our Imagine Leadership Products and Services, you should make sure that you disclose upfront that you receive a percentage of each sale made. In addition, all endorsements must reflect the honest opinions or experiences of the endorser. Any disclosures must be clear and conspicuous and not hidden. The most important principles are that an endorsement has to represent the accurate experience and opinion of the endorser. In addition, you must follow the following guidance:
      1. You can’t talk about your experience with a Product or Service if you haven’t tried it.
      2. If you were paid to try a product and you thought it was terrible, you can’t say it’s terrific.
      3. You can’t make claims about a product that would require proof you don’t have. For example, you can’t say a product will cure a particular disease if there isn’t scientific evidence to prove that it’s true.
    3. Furthermore, such disclosures must be made clearly, frequently, and conspicuously. Such disclosures ensure that readers can formulate an informed opinion about the information you provide by understanding the possible influence your material connection with our company might have on your endorsement of our Imagine Leadership Products and Services.
    4. Linking in Articles: When using our Referral Link in an article, you must display a clear disclosure about the nature of your affiliate links and the material connection you have with our company. These disclosures must appear on the same page where the links appear, and they must be clear, conspicuous and require no additional user interaction to read (such as clicking a link, scrolling, or hovering over an element.) According to the FTC: “Putting disclosures in obscure places – for example, buried on an About Us or General Info page, behind a poorly labeled hyperlink or in a Terms Or Service agreement – isn’t good enough. The average person who visits your site must be able to notice your disclosure, read it, and understand it.” All disclosures should appear in full, either before or in close proximity to the affiliate link itself.
    5. Example Article Disclosure: “Disclosure: Some of the links in this post are ‘affiliate links.’ This means if you click on the link and purchase the item, I will receive an affiliate commission.”
    6. Linking on Social Media: When using your Referral Links on social media, you must also display a clear disclosure about the nature of the links and material connection you have with our company. In the form of social media posts, these disclosures must be part of the post that contains the affiliate link.

    9. For more information and suggestions about how to comply with these guidelines, please visit our page entitled “Affiliate Disclosure Requirements and Examples” Please note that this page is only intended to provide guidance. It does not purport to provide legal advice and it does not guarantee that you’ll be in compliance with FTC regulations should you follow the suggestions presented. You are advised to seek and obtain your own legal advice on how these rules apply to Your Websites or other promotional activities for which you receive compensation.
    10. Women’s Biz Coop reserves the right to withhold Commissions and cancel the Affiliate relationship with you should we determine, at our sole discretion, that you are not in compliance with the previously mentioned guide or other FTC regulations or guides that we deem relevant.

 6. Data Security

  1. In addition to the obligations set forth in Section F (FTC Endorsement Compliance), you shall comply with all applicable data protection laws regarding the transmission of data exported to or from the United States of the country in which Affiliate resides, including without limitation, the General Data Protection Regulation 2016/679 of European Parliament and of the Council of 27 April 2016 (the “GDPR”). You, as a controller under the GDPR, shall also implement appropriate technical measures to ensure a level of security appropriate to the risk, taking into account the nature, scope, context, and purpose of processing any personal data. You agree to promptly assist Imagine Leadership in complying with any data subject rights request under the GDPR that Imagine Leadership may receive from any individuals referred to Imagine Leadership by you, our Affiliate. You further agree to promptly assist Imagine Leadership in complying with any duties to cooperate with supervisory authorities under the GDPR.
  1. Order Processing 1. Imagine Leadership will process orders placed by End Users and Referred Customers who follow the Links from Your Websites to Imagine Leadership. We reserve the right, in our sole discretion, to reject orders that do not comply with certain requirements that we may establish from time to time. All aspects of order processing and fulfillment, including Imagine Leadership’s Products and Services, cancellation, processing, refunds, reimbursement, credits, and payment processing will be our responsibility. We will track the Qualified Purchases generated by Your Websites and will make this information available to you through our Women’s Biz Coop Websites. To permit accurate tracking, reporting, and commission accrual, you must ensure that the Links between Your Websites and our Websites are properly formatted.
  2. Commission Determination; Qualified Purchases
  1. To be eligible to earn a Commission, the End User or Referred Customer must purchase Women’s Biz Coop Products and Services within the state Cookie Life period of coming to Women’s Biz Coop Websites through the Referral Link from Your Websites, emails or other communications. If the sale occurs after the Cookie Life period expires and the End User or Referred Customer has not returned through the Referral Link and purchased Women’s Biz Coop Products and Services, then no Commission shall occur.
  2. For the avoidance of doubt, Commission shall be paid only for purchases of brand new referrals, that occur after the End User or Referred Customer clicked on your particular Referral Links containing your reference ID, directly from the Women’s Biz Coop Websites. In other words, to be eligible for a Commission, the End User or Referred Customer you referred shall be a new user for Women’s Biz Coop Websites, shall use your Referral Link to register and subsequently purchase Women’s Biz Coop Products and Services directly from Women’s Biz Coop Websites.
  3. Your Commission as a WBC Assistant Manager is 5% and WBC Manager is 7.5% of total sale amount based on Gross Product Prices unless otherwise stated herein. If the End User cancels or does not pay for Women’s Biz Coop paid Membership or Imagine Leadership Products and Services, asks for a refund, or registers for complimentary WBC Membership, no Commission is paid. Commission structure is subject to change at our discretion.
  4. WBC Assistant Managers make an initial commission of 5% of Gross Product sales plus a 2.5% bonus per quarter. To reach your quarterly goals and earn your bonus, inspire 27 of paid WBC Product, StartMyBusinessToday signups, or Imagine Leadership Products and Services.
    1. Become WBC Manager earning a 7.5% commission of Gross Product sales after 2 quarters, or 6 months reaching your quarterly goals with 2.5% bonus per quarter. To reach your quarterly goals and earn your bonus, inspire 27 of paid WBC Product, StartMyBusinessToday signups, or Imagine Leadership Products and Services.
    2. Gross Product is the listed Product price. The price that you see on our Women’s Biz Coop Websites is what your commissions are based on. Instead of Net Product or Revenue, consider it a bonus!
    3. Commissions will be calculated based on the commission rates stated on Women’s Biz Coop Websites for each Qualified Purchase. A “Qualified Purchase” does NOT include the following:
      1. A purchase by an End User or Referred Customer that has transferred from Women’s Biz Coop partners, agents, representatives, or contractors.
      2. A purchase by an End User or Referred Customer who is also associated with any Women’s Biz Coop referral, scholarship, or other programs.
    4. A purchase by an End User or Referred Customer that is not up to date on its payment or is subject to a refund, reimbursement, or other programs.
      1. A purchase was completed prior to you joining our Affiliates or was not tracked properly through a Referral Link.
      2. A purchase by an End User or Referred Customer that has not been in good standing for a period of at least thirty (30) days) or is in violation of Women’s Biz Coop Terms of Service or other applicable policies at the time the Commission fees accrue.
      3. A purchase that Imagine Leadership suspects, in its sole discretion, is the result of fraud, which shall include but is not limited to, the use of software that generates real and fictitious information, multiple accounts from the same customer, or the referral of accounts that do not comply with this Agreement.
    5. A purchase referred by you, an Affiliate, that has an excessive cancellation rate as determined in Imagine Leadership’s sole discretion.
    6. A purchase by an End User or Referred Customer, if the End User or Referred Customer was offered or received coupons, refunds, reimbursement, credits, or discounts from you, the Affiliate.
      1. A purchase by an End User or Referred Customer, if you, the Affiliate or the End User or Referred Customer is in or is promoting a business-opportunity program (as determined by us in our sole discretion), using marketing practices that we deem to be unethical or likely to attract fraudulent signups and/or signups with a very low likelihood of payment.
      2. A purchase by an End User or Referred Customer who received a popup with a discounted offer, while leaving Women’s Biz Coop Website during their purchase.
  5. Imagine Leadership reserves the right to withhold payment of initial Commissions to you, the Affiliates, who are new to the Affiliate Program, or who have commissions that are potentially fraudulent as determined by Imagine Leadership in its sole discretion, to determine the legitimacy and cancellation rates of End Users or Referred Customers.
    1. Imagine Leadership reserves the right to suspend the payment of Commissions at any time and indefinitely, if it suspects fraud or other improper activity or potential breach of any of the terms of this Agreement by you, the Affiliate or End User or Referred Customer. Imagine Leadership reserves the right to deduct from your current and future commissions any and all commissions corresponding to any fraudulent, questionable, and canceled purchases.
    2. Imagine Leadership reserves the right to immediately cancel or withhold for later review any commission that fails to meet the criteria for a “Qualified Purchase.” You are responsible for monitoring the payment, denial, and withholding of commissions. Imagine Leadership is not obligated to actively notify you of the status of commissions. If you have a question about a commission that has been canceled or withheld, you have thirty (30) days from the day of payment would have been due to contact Imagine Leadership to request that the commission to be paid. Any changes to decisions about canceled or withheld commissions are strictly made in Imagine Leadership’s sole discretion.
  6. Commission for any End User or Referred Customer who is associated with any Women’s Biz Coop representatives, referral, partners, or other programs may not be considered a Qualified Purchase. In other words, you may not receive double commissions or compensation.
    1. In the event that End Users or Referred Customers that are referred to Imagine Leadership by you, the Affiliate, are determined to have an excessive cancellation rate, as determined by Imagine Leadership in its sole discretion. Imagine Leadership reserves the right to withhold or decline pending and future commissions to such Affiliates.
    2. Any attempt by an Affiliate to manipulate, falsify or inflate the End Users, Referred Customers, Qualified Purchases or Commissions to intentionally defraud Imagine Leadership or any violation of the Terms of this Agreement constitutes immediate grounds for Imagine Leadership to terminate the Affiliates participation in the Affiliate Program and will result in the forfeiture of any commissions due to the Affiliate.
    3. If you disagree with any commissions paid in connection with any month, you agree to notify Imagine Leadership within thirty (30) days of payment for such month. Otherwise, you agree that any and all claims for underpayment for such month shall be waived. YOU AND IMAGINE LEADERSHIP AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THIS AGREEMENT MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.
  7. From time to time Imagine Leadership may change Product and Service prices, therefore these changes may affect both the commission you will earn and the truthfulness of the information you will provide. We cannot guarantee the availability of Imagine Leadership Products and Services at the prices that you list on Your Websites if they are outdated.
  1. Tracking and Accrual of Commissions
  1. Unless otherwise stated herein, when the End User or Referral Customer with your reference ID recorded in Imagine Leadership cookie purchases our Products and Services, you will receive a commission for as long as the End User or Referral Customer maintains a subscription, membership or monthly retainer fee on the Women’s Biz Coop Websites or until terminated by either party in accordance with these Women’s Biz Coop Affiliate Terms. If at any time the End User or Referral Customer is canceled, suspended, or refunded, you will become ineligible to receive Commission on any future fees collected from that End User or Referral Customer.
  2. All sales are tracked using visitor IP and/or cookies. While this is the best method available, it is not perfect. We can only guarantee that sales will be tracked if the End User or Referred Customer does not change IP or their cookies are not cleared. This is also applied to any renewals, which are tracked independently of the initial purchase. You will include all of Your Websites Integration tags, tracking pixels, and other tracking code (“Code”) that we request, including any Code incorporated into the Links and/or Creatives. You may not alter the Code under any circumstances. If you alter, remove, or disable any Code, you will not be paid for any commission that was or could have been attributed to that Code. In the event of a discrepancy in reporting, the tracking statistics and reports of Imagine Leadership shall control.
  3. The first Affiliate to refer an End User or Referral Customer gets credit for the sale. Multiple Affiliates will not be paid for the same sale. Affiliates agree in the event of a dispute regarding credit or payment, the sole determination of Imagine Leadership shall be final and binding. If a payment is refunded, then the commission for this payment will be removed from Your Account.
  4. Only intentional clicks are allowed in the system. Forcing visitors to click a link, or using fake tracking pixels (“cookie stuffing”), or any other means to register unsuspecting visitors in the system is strictly prohibited. Accounts using such methods will be terminated without warning and all revenues will be forfeited. This includes, but it not limited to the use of Auto-Hit or Auto-Surf programs, displaying affiliate tracking URL within an iframe or image src, automatic pop-ups or automatic redirects to your affiliate’s URL or Referral Links without action by the visitor, or any other method meant to automatically track a visitor in the affiliate system without an intentional click from an interested buyer. If Imagine Leadership believes that you have fraudulently added registrations by non-approved methods (at the sole discretion of Imagine Leadership in its judgment), you agree the payout for all such fraudulent leads will be forfeited.
  5. The first affiliate who refers to an End User or Referral Customer that completes a purchase will also be awarded commissions on that customer’s future purchase, except in specific cases. An affiliate who refers to an End User or Referral Customer initial payment will also be awarded commission on that customer’s renewal payments paid towards the subscription for which the affiliate was the initial referrer. Customers who purchase without an affiliate referral will not generate commissions since these payments were not generated from an affiliate referral.
  1. Commission will accrue and only become payable once you (i) provide all relevant tax and address documentation and (ii) provide bank direct deposit information.
  2. Commission shall be paid based on the current information in Your Account. You are required to notify us promptly of any change in your address by updating your profile and tax form. You are responsible for informing Imagine Leadership about Your Account. Please email affiliates@womensbizcoop.com if you would like to update or change Your Account. Any changes to Your Account may take up to two (2) weeks to take effect.
  3. Imagine Leadership is not responsible for paying any Third Party fees charged by PayPal, wire, or ACH in order for you to receive your commissions.
  4. Imagine Leadership will deduct a fee of $50.00 from your commission to reissue a payment. PayPal payments will only be reissued in the case of (i) an incorrect PayPal address or (ii) PayPal’s refusal to accept a payment. You must make any request to reissue a PayPal payment within one hundred and twenty (120) days of the original issue date.
  5. You are required to submit a W8 (for Affiliates located outside of the U.S.) or W9 (for Affiliates located in the U.S.) tax form before any Commission shall accrue. For Affiliates in the U.S., if the information on the W9 tax form does not IRS records Imagine Leadership will not issue payment. You are responsible for the payment of all taxes related to your commissions you receive under this Agreement. In compliance with U.S. tax laws, Imagine Leadership will issue Form 1099 to Affiliates whose earnings meet or exceed the applicable threshold.
  6. It is solely your responsibility to provide Imagine Leadership with accurate tax and payment information that is necessary to issue a commission to you. If Imagine Leadership does not receive the necessary tax or payment information within ninety (90) days of a Qualified Purchase which would otherwise trigger commissions, the applicable commissions shall not accrue and no commissions will be owed with respect to such Qualified Purchase.
  7. Any address change must be emailed to affiliates@womensbizcoop.com at least fifteen (15) business days prior to the end of the calendar month in order for commissions for that month to be processed.
  1. Publicity
  1. You are not permitted to use any of the content of any websites owned and/or operated by Imagine Leadership without the written consent of Imagine Leadership and the Affiliate shall not frame any page or parts of any pages of Women’s Biz Coop Websites, Imagine Leadership Websites or any other websites nor will the Affiliate create the impression that Your Websites or Affiliate Websites is Women’s Biz Coop Websites or Imagine Leadership Websites or any part of Women’s Biz Coop Websites or Imagine Leadership Websites. The Affiliate agrees not to make any representations and/or give any warranties and/or guarantees relating to Women’s Biz Coop and Imagine Leadership Products and Services and/or their efficacy other than those given by Imagine Leadership and/or otherwise approved by us in writing.
  2. You shall not create, publish, transmit or distribute, under any circumstances, any bulk email messages (also known as “SPAM”) without prior written consent from Imagine Leadership, to be granted or denied in Imagine Leadership’s sole discretion, in each instance. Additionally, you may only send emails containing a Women’s Biz Coop Affiliate Link and or a message regarding Imagine Leadership or Women’s Biz Coop Affiliate Program to people who have previously consented to receive such communications from you. Your failure to abide by Section S, the CAN-SPAM Act of 2003, our Anti-Spam Policy, and all applicable laws relating to email communications, in any manner, will be deemed a material breach of this Agreement by you and will result in the forfeiture by you of any and all rights you may have to any commission and the termination of your participation in our Affiliate Program. Further, if your account has excessive clicks in a very short period of time as determined by Imagine Leadership, its sole discretion, the Affiliate relationship may be terminated.
  1. Licenses and Use of Imagine Leadership Logos and Trademarks
  1. Subject to the limitation set forth in Section S above and otherwise in this Agreement, we grant you a worldwide, non-exclusive, non-transferrable, revocable, unlimited and royalty-free license to (i) access our website through Links solely in accordance with the terms of this Agreement and (ii) solely in connection with such Links, to use Imagine Leadership trademarks and logos and similar identifying material provided by us (collectively, the “Licensed Materials”), for the sole purpose of selling Imagine Leadership and Women’s Biz Coop Products and Services on Your Websites and as approved in advance by us. You may not alter, modify, or change the Licensed Materials in any way. You are only entitled to use the Licensed Materials in any way. You are only entitled to use the Licensed Materials while you are an Affiliate in good standing and in compliance with all of the terms of this Agreement.
  2. You shall not use the Licensed Materials for any purposes other than selling Imagine Leadership and Women’s Biz Coop Products and Services, without first submitting a sample to us and obtaining the express prior written consent of Imagine Leadership in each instance. You shall not use the Licensed Materials in any manner that is disparaging or that otherwise portrays Imagine Leadership, any member of Imagine Leadership, or any Imagine Leadership employee, representative or contractor in a negative light. We reserve all of our rights in the Licensed Materials and your license to use such material is limited to the manner described herein. We may revoke your license at any time, by giving you written notice. If not previously revoked, this license shall immediately terminate upon termination of your participation in the Affiliate Program.
  3. You grant us a non-exclusive license to utilize your name, title, trademarks, and logos (the “Affiliate Trademarks and Logos”) in any advertisement or other materials used to promote Imagine Leadership and Women’s Biz Coop Affiliate Program, provided that Imagine Leadership’s use of the Affiliate Trademarks is not required and is at its sole discretion. This license shall terminate upon termination of your participation in the Affiliate Program.
  4. You acknowledge and agree that all rights, title, and interest to, any and all intellectual property rights of all types or nature whatsoever, including, without limitation, patent, copyright, trademark, database rights as well as moral rights, know-how, and trade secrets (and any licenses in connection with any of the same), whether or not registered or capable of registration, and whether subsisting in any specific country or countries or any other part of the world, in Women’s Biz Coop Affiliate Program, Imagine Leadership platforms (technology, hardware, software, etc.) any code or software (API, etc.) which may be provided to Affiliate, End User or Referred Customer under this Agreement and any work products created and/or delivered herein and related documentation (forming the Imagine Leadership and Women’s Biz Coop Websites, Women’s Biz Coop Affiliate Program) are and will remain solely and exclusively our property and/or property of Imagine Leadership. Affiliate is granted no title or ownership rights in Women’s Biz Coop Websites or Affiliate Program. Affiliate’s right to use Women’s Biz Coop Websites, participate in Women’s Biz Coop Affiliate Program and any part thereof is strictly limited to the provisions of this Agreement and we reserve all rights not expressly granted herein.
  5. You are under no obligation to give Imagine Leadership any ideas, suggestions, comments, or other feedback related to Imagine Leadership Websites, Women’s Biz Coop Affiliate Program, or the business or operations of Imagine Leadership. If any Affiliate shares ideas, suggestions, comments, or other feedback with Imagine Leadership, Imagine Leadership will own such an idea, suggestion, comment, or feedback. Affiliate hereby assigns all of Affiliate’s right, title, and interest in such idea, suggestion, comment or feedback to Imagine Leadership and agrees that Imagine Leadership will be free to use and implement same, without restriction or obligation of any kind, without, however, any obligation to do so.
  1. Term and Termination
  1. The term of this Agreement will begin upon our acceptance of your Affiliate Program application and will end when terminated by either party (the “Term”). Either party may terminate this Agreement at any time, with or without cause.
  2. You are only eligible to earn Commissions on Qualified Purchases occurring during the Term. Commissions earned prior to the date of termination will be eligible for commissions only if the orders for the related Imagine Leadership Products and Services are not canceled within 90 days and comply with all of the terms of this Agreement. We may withhold your final payment of commission for a reasonable time to ensure that all Qualified Purchases are valid and payment from End Users and Referred Customers are legitimate as determined by Imagine Leadership in its sole discretion.
  3. Any Affiliate who violated this Agreement, Imagine Leadership’s Terms and Conditions, or any applicable law will immediately forfeit any right to any and all accrued, but not yet received, commissions and will be immediately removed from the Affiliate Program.
  4. Imagine Leadership reserves the right to remove an Affiliate from the Affiliate Program, and to terminate or suspend this Agreement, at any time for any reason, in Imagine Leadership’s sole discretion.
  5. Upon any termination of this Agreement for any reason, all provisions regarding indemnification, warranty, liability and limits thereon, and confidentiality and protection of proprietary rights and trade secrets, and any provisions which expressly or by their nature are required to survive such termination in order to achieve their purpose shall so survive until it shall no longer be necessary for them to survive in order to achieve their purpose.
  1. Modification
  1. We may modify this Agreement at any time in our sole discretion; provided that the change shall solely apply to events occurring after the date on which you accept and agree to such modifications unless you otherwise agree herein. Such modifications shall take effect when posted on our website. Modifications may include but are not limited to, changes in the scope of available commissions, commission amounts or percentages, payment procedures, commission payment schedules, and Women’s Biz Coop Affiliate Program Rules. If any modification is unacceptable to you, your only recourse is to terminate this Agreement, in which event you shall be entitled to your rights under the unmodified Agreement prior to the date of the applicable modification. Your continued participation in the Affiliate Program following our posting of any modifications on our websites will constitute binding acceptance of the change.
  1. Indemnity.
  1. You agree to defend, indemnify and hold harmless Imagine Leadership and its officers, directors, employees, representatives, contractors, and agents, from and against any and all claims, actions, damages, demands, judgments, obligations, settlements, losses, liabilities, costs or debts, and expenses (including but not limited to attorney’s fees) arising from (i) your use of and access to Women’s Biz Coop Websites and participation in Women’s Biz Coop Affiliate Program: (ii) your violation of any term of this Agreement or applicable law; or (iii) your violation of any Third Party right, including without limitation any copyright, property, or privacy right. This defense and indemnification obligation will survive the termination of this Agreement and your use of Women’s Biz Coop Website and participation in Women’s Biz Coop Affiliate Program.
  1. Authority
  1. Each party represents and warrants to the other party as to itself that the person executing this Agreement is authorized to do so on such party’s behalf. IF YOU ARE INDIVIDUAL, YOU REPRESENT AND WARRANT THAT WERE AT LEAST 18 YEARS OF AGE ON THE EFFECTIVE DATE OF THIS AGREEMENT. If you are under 18, please do not attempt to participate in Women’s Biz Coop Affiliate Program or send any information about yourself to us, including your name, address, telephone number, or email address. If we learn that we have collected personal information from anyone under age 18 without verification of parental consent, we will delete that information as quickly as possible.
  1. Disclaimers
  1. We make no express or implied warranties or representations with regard to the Affiliate Program or any Imagine Leadership Products and Services sold through the Affiliate Program (including, without limitation, WARRANTIES OF FITNESS, MERCHANTABILITY, NON-INFRINGEMENT, OR ANY IMPLIED WARRANTIES ARISING OUT OF COURSE OF PERFORMANCE, DEALING, OR TRADE USAGE). In addition, we make no representation that the operation of our website will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors, including the tracking of information concerning End Users or Referred Customers during any period of interruption.
  1. Relationship of Parties
  1. You and Imagine Leadership are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on Your Websites or otherwise, that contradicts anything in this section.
  1. Representation and Warranties
  1. You hereby represent and warrant to us as follows:
    1. You have reviewed and understood this Agreement and agree to be bound by its Terms.
    2. Your acceptance of this Agreement and participation in the Affiliate Program will not violate (i) any provision of law, rule, or regulation to which you are subject, (ii) any order, judgment, or decree applicable to you or binding upon your assets or properties, (iii) any provision of your by-laws or certificate of incorporation, or (iv) any agreement or other instrument applicable to you or binding upon your assets or properties.
  2. You have all the appropriate authority to operate and to post any and all content on Your Websites.
    1. You have all the appropriate rights to promote with any promotional method you may choose to use.
    2. You shall remain solely responsible for any and all Your Websites and all of your promotional methods and/or campaigns and any consequences resulting therefrom.
    3. You are the sole and exclusive owner of the Affiliate Trademarks and Logos and have the power to grant to Imagine Leadership to use such marks in the manner contemplated herein, and such grant will not (i) breach, conflict with or constitute a default under any agreement or other instrument applicable to you or binding upon your assets or properties, or (ii) infringe upon any trademark, trade name, service market, copyright or other proprietary rights of any Third Party or entity.
    4. You are not required to obtain consent approval, or authorization of, or exemption by, or filing with, any governmental authority or any Third Party in connection with your entrance into this Agreement.
    5. There is no pending or threatened claim, action, or proceeding against you, or any affiliate of yours with respect to the Affiliate Trademarks and Logos, and, to the best of your knowledge, there is no basis for any such claim, action or proceeding.
  3. During the Term, you will not include in Your Website content that is, in our opinion, unlawful, harmful, threatening, defamatory, obscene, harassing, racially, ethnically, or otherwise objectionable or are in violation of our Terms.
  4. Each End User or Referred Customer is valid, genuine, and unique and meets the criteria of a Qualified Purchase for generating commissions as provided in this Agreement.
  1. Disclaimer of Warranties
  1. EXCEPT WHERE PROHIBITED BY LAW, WOMEN’S BIZ COOP AFFILIATE PROGRAM AND WOMEN’S BIZ COOP WEBSITEs ARE PROVIDED “AS-IS” AND “AS AVAILABLE” AND WE EXPRESSLY DISCLAIM ANY WARRANTIES AND CONDITIONS OF ANY KIND, WHERE EXPRESS OR IMPLIED, INCLUDING THE WARRANTIES OF CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, OR NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT WOMEN’S BIZ COOP AFFILIATE PROGRAM OR THE WOMEN’S BIZ COOP WEBSITES (i) WILL MEET YOUR REQUIREMENTS AND/OR EXPECTATIONS; (ii) WILL BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS; OR (iii) WILL BE ACCURATE, RELIABLE, FREE OF VIRUSES OR OTHER HARMFUL CODE, COMPLETE, LEGAL OR SAFE. WE FURTHER MAKE NOT WARRANTIES OR REPRESENTATIONS REGARDING THE ACCURACY OR COMPLETENESS OF THE CONTENT ON ANY SITES LINKED TO THE WOMEN’S BIZ COOP AND IMAGINE LEADERSHIP WEBSITES.
  1. Limitation of Liability
  1. WE WILL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, OR ANY LOSS OF REVENUE, PROFITS, OR DATA, ARISING IN CONNECTION WITH THIS AGREEMENT OR THE AFFILIATE PROGRAM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FURTHER, OUR AGGREGATE LIABILITY ARISING WITH RESPECT TO THIS AGREEMENT AND THE AFFILIATE PROGRAM WILL NOT EXCEED THE TOTAL COMMISSIONS PAID OR PAYABLE TO YOU UNDER THIS AGREEMENT DURING THE THREE (3) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY.
  2. In no event shall Imagine Leadership, its officers, directors, representatives, employees, contractors or agents, be liable to you or any Third Party for any direct, indirect, incidental, special, punitive, or consequential damages whatsoever arising from or related to either this Agreement or use of Women’s Biz Coop Websites or participation in Women’s Biz Coop Affiliate Program. Our liability to you for any damages arising from or related to this Agreement, will at all times be limited to the greater of (i) $50 (fifty USD) or (ii) commissions you received in the prior 3 (three) months (if any). The existence of more than one (1) claim will not enlarge this limit. The foregoing limitation of liability shall apply to the fullest extent permitted by law in the applicable jurisdiction.
  3. You accept that the operation of the Women’s Biz Coop Affiliate Program, Referral Links, or Women’s Biz Coop Websites may not be completely free of interruptions or errors in the performance of Women’s Biz Coop Websites or Referral Links.
  4. Imagine Leadership does not warrant, endorse, guarantee, or assume responsibility for any Product or Service advertised or offered by the Third Party through Women’s Biz Coop Websites, hyperlinked websites, or Referral Links or featured in any banner or other advertising, and Imagine Leadership will not be a party to or in any way be responsible for monitoring any transaction between you and Third Party providers of Products or Services.
  5. We make no representations that Women’s Biz Coop Affiliate Program and Women’s Biz Coop Websites are appropriate or available for use in all locations. Those who access or use Women’s Biz Coop Websites or participate in Women’s Biz Coop Affiliate Program from jurisdictions prohibiting such, do so at their own volition and are responsible for compliance with local law.
  6. We reserve the right to use Third-Party service providers in the provisions of all or part of the Agreement including, but not limited to, hosting providers, payment services, information and communication services, analytics services, internet advertising platforms, advertising services providers and platforms. Where any of the aforementioned services are provided by Third Parties, the Affiliate may be subject to such Third Party’s Terms and Conditions. We accept no responsibility or services provided by any Third Party.
  1. Confidentiality
  1. Each of the parties hereto agrees that all information including, without limitation, the terms of this Agreement, business, and financial information, Imagine Leadership customer and vendor lists, or pricing and sales information (including without limitation commission rates), shall remain strictly confidential and shall not be utilized for any purpose outside the terms of this Agreement except and solely to the extent that such information is (i) already lawfully known to or independently developed by the receiving party, (ii) disclosed in published materials, (iii) generally known to the public, or (iv) lawfully obtained from any Third Party not under any obligation of confidentiality to the disclosure hereunder. Notwithstanding the foregoing, each party is hereby authorized to deliver a copy of such information (i) pursuant to a valid subpoena or order issued by a court or administrative agency of competent jurisdiction, (ii) to its accountants, attorneys, or other agents on a confidential basis, and (iii) otherwise as required by applicable law, rule, regulation, or legal process including, without limitation, the Security Exchange Act of 1933, as amended, and the rules and regulations promulgated thereunder, and the Securities Exchange Act of 1934, as amended, and the rules and regulations promulgated thereunder. In the event of such disclosure, the receiving party shall give the disclosing party prior notice before releasing any information unless giving such notice is prohibited.
  1. Independent Investigation
  1. You understand that we may at any time (directly or indirectly) solicit Imagine Leadership relationships on terms that may differ from those contained in this Agreement. We may also solicit relationships with entities that operated websites that are similar to or compete with Your Websites. You have independently evaluated the desirability of participating in the Women’s Biz Coop Affiliate Program and are not relying on any representation, guarantee, or statement other than as set forth in this Agreement.
  1. Miscellaneous
  1. Force Majeure. We shall not be liable for failing or delaying performance of our obligations resulting from any condition beyond our reasonable control, including but not limited to, use of Third Parties’ equipment or services, communications failure, governmental action, war, acts of terrorism, earthquake, fire, flood or other acts of God, labor conditions, power failures, and Internet disturbances.
  2. Headings and References. Headings of Sections are for the convenience of reference only. Words indicated in quotes and capitalized signify an abbreviation or defined term for indicated words or terms, including those definitions contained in the opening paragraph.
  3. Entire Agreement. This Agreement, together with the Privacy Policy, shall constitute an original and all of which, when taken together, shall constitute one agreement, between you and Imagine Leadership concerning your use of the Women’s Biz Coop Websites and participation in Women’s Biz Coop Affiliate Program. However, terms and conditions of some other Imagine Leadership Products and Services may impose additional terms, which can be found in the terms and conditions for such Products and Services.
    1. Participation in Women’s Biz Coop Affiliate Program is also governed by our Privacy Policy, the provisions of which are adopted herein by reference so when referring to this Agreement we also refer to the Privacy Policy.
    2. All provisions of this Agreement are distinct and severable. If any provision of this Agreement (or part of any provision) is found by any court or other authority of competent jurisdiction to be invalid, unenforceable, or illegal, this shall not impair the operation of this Agreement or affect the other provisions which are valid.
    3. This Agreement is in the English language, which prevails over any translations of it to other languages, made by us, and provided to you for your convenience, as applicable. Women’s Biz Coop Affiliate Program is designed in the English language and its translations into other languages may contain inaccuracies for which we shall not bear any responsibility; we suggest using the English version and resorting to versions in other languages only for references and at your own risk. You also agree to have all communications with us in English.
    4. This Agreement, any part thereof or any rights or obligations under it may not be novated, assigned, outsourced or transferred by you without our advance written consent, but may be assigned by us with restriction or limitations. Any assignment or transfer in violation of the aforementioned provisions shall be deemed null and void. Subject to the foregoing, the provisions of this Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors and assigns.
    5. You agree that Imagine Leadership may identify you as a Women’s Biz Coop Affiliate and may use your name and/or logo solely for such purpose in its marketing materials.
    6. Tax Status and Obligations. Imagine Leadership is not obligated to and shall not provide tax and/or legal advice. Imagine Leadership undertakes no duty to investigate or research your tax status and/or obligations, and such research and investigation are solely your responsibility. You are obligated to independently assess and comply with all relevant tax and legal requirements, and you are solely responsible for your own sales tax collection, reporting, and any other obligation arising from your commissions. If Imagine Leadership provides you with information, that information shall not be deemed tax or legal advice, and Imagine Leadership shall not be responsible for the accuracy of such information.
  1. Applicable Law, Arbitration, and Class Action Waiver.
  1. This Agreement is entered into in the State of New Jersey. This Agreement shall be governed by and construed under the laws of the State of New Jersey, excluding that body of law applicable to conflicts of law.
  2. Any claim or controversy arising out of or relating to the Agreement or to any acts or omissions for which you may contend we are liable, including but not limited to any claim or controversy (“Dispute”), shall be finally and exclusively, settled by arbitration in Trenton, New Jersey, from which arbitration there shall be no appeal. The arbitration shall be held before one arbitrator under the Commercial Arbitration Rules of the American Arbitration Association (“AAA”) in force at that time. The arbitrator shall be selected pursuant to the AAA rules. The arbitrator shall apply the substantive law of the State of New Jersey, except that the interpretation and enforcement of this arbitration provision shall be governed by the Federal Arbitration Act. To begin the arbitration process, a party must make a written demand therefore. Each party shall bear its own costs and attorneys’ fees. Any judgment upon the award rendered by the arbitrators may be entered in any court of competent jurisdiction in New Jersey. The arbitrator shall not have the power to award damages in connection with any Dispute in excess of actual compensatory damages and shall not multiply actual damages or award consequential, punitive or exemplary damages, and each party irrevocably waives any claim thereto. The agreement to arbitrate shall not be construed as an agreement to the joined or consolidation of arbitration under this Agreement with arbitration of disputes or claims of any non-party, regardless of the nature of the issues or disputes involved. THIS AGREEMENT PROVIDES THAT ALL DISPUTES BETWEEN YOU AND US WILL BE RESOLVED BY BINDING ARBITRATION. YOU THUS GIVE UP YOUR RIGHT TO GO TO COURT TO ASSERT OR DEFEND YOUR RIGHTS. YOU ALSO GIVE UP YOUR RIGHT TO PARTICIPATE IN OR BRING CLASS ACTIONS. YOU ACKNOWLEDGE AND AGREE THAT YOU AND IMAGINE LEADERSHIP ARE EACH WAIVING THE RIGHT TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION OR REPRESENTATIVE PROCEEDING. Further, unless both you and we otherwise agree, the arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of any class or representative proceeding. YOUR RIGHTS WILL BE DETERMINED BY A NEUTRAL ARBITRATOR AND NOT A JUDGE OR JURY.
  3. WITH RESPECT TO ALL PERSONS AND ENTITIES, REGARDLESS OF WHETHER THEY HAVE OBTAINED OR USED THE SERVICE FOR PERSONAL, COMMERCIAL OR OTHER PURPOSES, ALL CLAIMS MUST BE BROUGHT IN THE PARTIES’ INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION OR OTHER REPRESENTATIVE PROCEEDING. THIS WAIVER APPLIES TO CLASS ARBITRATION, AND, UNLESS WE AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS. YOU AGREE THAT, BY ENTERING INTO THIS AGREEMENT, YOU AND WE ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING OF ANY KIND.
  4. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such a provision or any other provision of this Agreement.
  5. You confirm that you have read, acknowledge, and agree to all the terms and conditions of Women’s Biz Coop Affiliate Program Terms. You have independently evaluated the desirability of accepting Women’s Biz Coop Affiliate Program Terms and are not relying on any representation, guarantee, or statement other than as set forth in Women’s Biz Coop Affiliate Program Terms.
  6. Electronic Notices. You agree to receive communications from us in an electronic form. Electronic notices will be delivered to your email address, which you used for registration purposes, as it may be subsequently changed by you by written notice to us. All communications in electronic format will be considered to be “in writing” and to have been received on the day that you and we send them. We reserve the right, but assume no obligation, to provide communications in paper format.
  7. All notices, requests, claims, demands and other communications regarding these Women’s Biz Coop Affiliate Program Terms are welcomed and should be addressed to affiliates@womensbizcoop.com
